1. Acceptance of Terms
Orbit is a website and brand operated by FuturePoint ("FuturePoint", "we", "us", or "our"). By installing or using any software product distributed by FuturePoint through the Orbit website ("Product"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use our Products.
2. Description of Service
FuturePoint develops and distributes macOS desktop applications under the Orbit brand. Each Product's specific features are described on its respective product page. Some Products offer a free trial; full functionality requires a purchased license.
3. User Accounts
Purchasing a license requires account creation (via Google sign-in). You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, current, and complete information during registration.
4. Licenses and Activation
Upon purchase you will receive a license key. Each key may be activated on up to 3 devices. Once activated, the Product remains fully functional offline, regardless of network status. We reserve the right to revoke licenses for violation of these terms.
License keys may not be resold, transferred, or shared with others unless explicitly authorized by us in writing.
4.1 Beta & Complimentary Licenses
From time to time we may issue beta, complimentary, or contributor licenses ("Complimentary Licenses") at our sole discretion. Complimentary Licenses are:
- Temporary: Initially valid for 30 days. We may extend, convert to permanent, or revoke at any time.
- Revocable: We may revoke a Complimentary License at our discretion, including if the associated contribution is found to be unverifiable, insubstantial, or in bad faith.
- Non-transferable: Complimentary Licenses are issued to a specific individual and may not be resold, transferred, or shared.
- Conditional: Meeting published contribution criteria does not guarantee a license. Issuance and conversion to permanent status are discretionary decisions made on a case-by-case basis.
Upon conversion to a permanent license, the standard license terms in this section apply. Complimentary Licenses that are not converted to permanent status expire automatically.
5. Payment
Payments are processed through Paddle. By purchasing, you authorize us to charge the applicable fee to your payment method. License fees are non-refundable except as provided in our Refund Policy.
We reserve the right to modify pricing with 30 days' notice.
6. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the Product
- Circumvent license validation mechanisms
- Resell, redistribute, or sublicense the Product to others
- Use the Product for any unlawful purpose
- Exploit vulnerabilities to bypass usage restrictions
7. Intellectual Property
The Product, including its code, design, branding, and documentation, is owned by FuturePoint and protected by copyright and other intellectual property laws. The Orbit and product names and logos are our trademarks.
8. Disclaimer of Warranties
The Product is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the Product will be error-free, uninterrupted, or meet your specific needs.
9. Limitation of Liability
To the fullest extent permitted by law, FuturePoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Product. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Termination
We reserve the right to suspend or terminate your access to the Product at our discretion, without prior notice, for conduct that we believe violates these terms. Upon termination, your right to use the Product ceases immediately.
11. Changes to Terms
We may update these Terms of Service from time to time. Material changes will be communicated via the app or email. Continued use after changes take effect constitutes acceptance of the revised terms.
12. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
